Terms & Conditions
1. General Terms
These Terms & Conditions govern access to and use of PlanEvents, including the website available at planevents.eu, the PlanEvents application, the event-request service, the professional marketplace, lead-purchase functionality and associated services.
PlanEvents is operated by BrandLabel Agency, an independent business established in Belgium, with registered VAT number BE1040366570, Rue de la Marjolaine, 1120 Brussels, Belgium.
For the purposes of these Terms, “PlanEvents”, “we”, “us” and “our” refer to the operator of the PlanEvents Service.
By registering an account or otherwise accepting these Terms through the Platform, you enter into a binding agreement with PlanEvents. If you act on behalf of a business or other organisation, you confirm that you are authorised to bind that business or organisation in relation to your use of the Service.
These Terms apply together with the Privacy Policy, Cookie Policy, Refund Policy and any additional terms expressly presented in connection with a particular PlanEvents service.
Nothing in these Terms excludes or restricts any right or protection that cannot lawfully be excluded under mandatory Belgian or European Union law.
2. Definitions
For the purposes of these Terms, a “Client” means a registered user who uses PlanEvents to create an event request and seek relevant professional services.
A “Professional” means a registered business user that has completed the applicable Professional onboarding and verification procedure and has been approved by PlanEvents to participate in the marketplace.
An “Event Request” means a request submitted by a Client concerning an event for which the Client wishes to identify or contact one or more relevant Professionals.
A “Lead” or “Opportunity” means an Event Request, or the relevant part of an Event Request, made available to a Professional whose verified services and geographic coverage satisfy the applicable marketplace matching criteria.
A “Lead Purchase” means the transaction by which an eligible Professional pays the price displayed at checkout in order to obtain the information made available after unlocking the relevant Opportunity.
“Credit” means an amount recorded in a Professional’s PlanEvents account that may be used toward eligible future purchases on the Platform. Credits may include credits restored following an approved Quality Claim, promotional or welcome credits granted by PlanEvents, referral credits earned under an applicable referral programme, and other account adjustments expressly granted by PlanEvents. Different categories of Credits may be subject to different conditions according to the reason for which they were issued.
“Service” means the PlanEvents website, application, marketplace, account services, lead-purchase functionality and associated PlanEvents functionality.
3. Nature of the PlanEvents Service
PlanEvents operates an online event marketplace intended to facilitate initial contact between persons seeking event-related services and independent Professionals offering such services.
PlanEvents is an intermediary. Except where PlanEvents expressly agrees otherwise in writing, PlanEvents does not itself provide the catering, venue, entertainment, audiovisual, photography, decoration, transport or other event services requested by Clients.
PlanEvents is not a party to any contract subsequently entered into between a Client and a Professional.
Any discussion, quotation, negotiation, acceptance, service contract, invoicing, payment for the underlying event service, performance, cancellation or dispute concerning the event service itself takes place between the Client and the relevant Professional outside PlanEvents.
PlanEvents does not currently charge a commission on the value of contracts concluded between Clients and Professionals and does not collect payment for the underlying event services.
The existence of a Professional profile, verification procedure, marketplace approval or lead match does not constitute an endorsement, certification or guarantee by PlanEvents as to the quality, suitability, solvency, insurance, qualifications, licences, regulatory compliance or performance of a Professional.
Clients and Professionals remain responsible for conducting such due diligence as is reasonable before entering into a contract with another party.
4. Client Eligibility and Accounts
The Client side of PlanEvents is intended for persons who are at least eighteen years of age.
A Client must create an account before submitting an Event Request.
Clients must provide accurate, current and complete account and contact information and must maintain the confidentiality of their authentication credentials.
A Client may create successive Event Requests and may request several service categories within the same Event Request.
Submitting an Event Request is free of charge to the Client under the current PlanEvents business model.
PlanEvents may introduce additional optional services in the future. Any paid Client service will be identified before purchase and will be subject to the applicable contractual and statutory requirements.
5. Genuine Event Requests
A Client may submit an Event Request only where the request concerns a genuine event or genuine intention to obtain the services described in the request.
A Client must not deliberately create fabricated, fictitious, misleading or test requests through the production marketplace; impersonate another person or organisation; submit another person’s contact information without appropriate authority; deliberately provide materially false information; use Event Requests as advertising or solicitation; create requests for spam, harassment or data-collection purposes; attempt to circumvent marketplace controls; or otherwise misuse the Service.
Where a Client submits information concerning another person, the Client represents that they have an appropriate basis and authority to provide that information for the relevant Event Request.
PlanEvents may investigate suspected fabricated, fraudulent, abusive or unauthorised Event Requests and may pause, reject, close or remove such requests and restrict or terminate the associated account.
Where deliberate fraud or misconduct causes direct loss to PlanEvents, including amounts reasonably credited or reimbursed to Professionals because of the false request, PlanEvents reserves the right, to the extent permitted by applicable law, to seek compensation for reasonably established direct loss and costs resulting from that misconduct.
Nothing in this provision creates an automatic fixed penalty or prevents a Client from challenging an amount claimed by PlanEvents.
6. Submission, Review and Marketplace Publication
An Event Request may be subject to automated checks, administrator review or moderation before or during marketplace publication.
PlanEvents may reject, pause or remove an Event Request where information is incomplete, contradictory, unlawful, manifestly fraudulent, outside the scope of the Service, contrary to these Terms or otherwise unsuitable for publication.
Publication of an Event Request does not guarantee that a matching Professional will be available, purchase the Lead, contact the Client, provide a quotation or agree to provide the requested service.
7. Marketplace Disclosure
By submitting an Event Request, the Client acknowledges that PlanEvents will make information concerning that request available to eligible Professionals in accordance with the marketplace model and Privacy Policy.
Before purchase, eligible Professionals receive a redacted preview designed to provide sufficient information to evaluate the Opportunity while withholding structured Client contact information.
Following a successful Lead Purchase, the purchasing Professional receives the relevant contact information and unredacted Event Request information necessary to pursue the Opportunity, subject to the service-category restrictions described in the Privacy Policy and marketplace interface.
Up to five verified Professionals per requested service category may purchase access to an Event Request. Each requested service has its own availability and unlock count and closes automatically at five purchases.
The Client may stop new Professionals for each requested service separately. This prevents future checkout reservations for that service but does not revoke access already purchased or a checkout reservation already validly started before the service closed.
Where a Professional offers several services requested within the same Event Request, PlanEvents groups the matching services that are open and have capacity when checkout begins into one Opportunity. The Professional pays once, consumes one slot in each included service and does not receive closed matching services.
Lead access is non-exclusive.
8. Editing Event Requests
A Client may modify an active Event Request where the Platform permits modification.
When modification begins, the request may temporarily return to draft status and marketplace availability may be paused until the revised request is submitted again.
PlanEvents may prevent modification while an active Professional checkout is in progress.
A completed Lead Purchase does not, by itself, permanently prevent the Client from changing the Event Request.
Where an Event Request has already been purchased, PlanEvents may preserve an immutable record of the information forming part of the Opportunity at the time of purchase.
Material subsequent changes may be notified to Professionals who previously purchased the Opportunity.
A material change may include a substantial change to the date, location, event type, scale, requested service, service requirements or another element materially affecting the commercial nature of the Opportunity.
A Professional who considers that a material post-purchase change substantially altered the purchased Opportunity may submit a quality claim in accordance with the Refund Policy.
Minor changes do not automatically entitle a Professional to a Credit or refund.
9. Pausing, Closing and Cancelling Event Requests
A Client may pause, resume, close or cancel an Event Request where the applicable functionality and lifecycle status permit.
Pausing ordinarily prevents new marketplace activity while preserving the request.
Closing a request because a Professional has been found stops new purchases but does not retrospectively invalidate Lead Purchases already completed.
A Client may also close one requested service without closing the other requested services. The independent service status and counter shown in the request overview govern future availability.
Cancelling an event means that the event itself is no longer intended to proceed. Cancellation stops new Lead Purchases and may constitute grounds for existing purchasers to submit a quality claim in accordance with the Refund Policy.
A closed or cancelled request may remain in PlanEvents records to the extent necessary for purchased-lead history, accounting, quality claims, fraud prevention, legal obligations and the retention rules described in the Privacy Policy.
10. Professional Eligibility
Participation in the Professional marketplace is currently restricted to eligible Belgian businesses.
To become an approved Professional, the user must be at least eighteen years of age, be authorised to represent the relevant business, provide the information required by the onboarding process, provide a registered Belgian business address, provide a valid Belgian enterprise or VAT number linked to an active BCE/KBO entity, satisfy applicable marketplace requirements and successfully complete PlanEvents administrator review.
PlanEvents verifies Belgian businesses against BCE/KBO data. VIES may be used for VAT numbers from other European Union countries where applicable, together with other official or authoritative sources and manual review.
Submission of a Professional profile does not create a right to approval.
PlanEvents may approve or reject an application on reasonable grounds connected with marketplace eligibility, identity or business verification, regulatory compliance, Platform integrity, fraud prevention or the information supplied.
PlanEvents may expand Professional eligibility to additional countries in the future. Such expansion does not create eligibility before the relevant PlanEvents functionality and terms are introduced.
11. Professional Information and Regulatory Compliance
Professionals are responsible for ensuring that all business information provided to PlanEvents is accurate, complete and current.
Professionals must promptly update or notify PlanEvents of material changes affecting their legal business name, address, VAT status, services, regulatory registrations, authorisations or other information relevant to marketplace eligibility.
Where a Professional offers a regulated or controlled service, that Professional is solely responsible for obtaining and maintaining all licences, permits, registrations, authorisations, insurance and other requirements applicable to that activity.
Where PlanEvents requests evidence of a registration or authorisation, including an applicable FASFC/AFSCA registration or authorisation for relevant catering activities, providing such information does not transfer responsibility for legal compliance from the Professional to PlanEvents.
PlanEvents may suspend or restrict marketplace participation where required information becomes invalid, expires, cannot reasonably be verified or appears materially inaccurate.
12. Automated Marketplace Matching
PlanEvents uses rules-based matching to determine which approved Professionals may access particular Opportunities.
Matching may take into account the Professional’s verified service categories, Belgian regions covered, business location and declared travel radius together with the requested services and event location.
The request must also remain active, eligible and available for purchase.
Matching does not constitute a guarantee of commercial suitability.
PlanEvents does not currently rank Professionals by predicted quality, conversion likelihood, expected performance or personal characteristics and does not select a Professional to receive the underlying event contract.
Every eligible Professional remains responsible for deciding whether to purchase an Opportunity.
A Professional who reasonably believes that marketplace eligibility or matching has been applied incorrectly may contact PlanEvents for review.
13. Lead Capacity and Availability
An Opportunity remains available only while the Event Request satisfies the applicable marketplace requirements and available unlock capacity remains.
PlanEvents may make an Opportunity unavailable before purchase where the Client closes, pauses or cancels the request, the request expires, the relevant unlock limit is reached, the request is rejected or moderated, fraud or abuse is suspected, a legal or security concern arises or the request otherwise ceases to qualify for marketplace publication.
The appearance of an Opportunity in a Professional’s marketplace does not create an acquired right, reservation or entitlement to purchase that Opportunity.
14. Lead Purchases and Payment
Professionals currently purchase Opportunities individually.
There is no recurring subscription or automatic lead purchase under the current model. Each purchase remains voluntary and is added to the Professional’s consolidated monthly invoice.
The Professional chooses whether to purchase an available Opportunity and confirms it against an active billing account with a saved card.
The price displayed immediately before checkout applies to that transaction. Promotional prices may change for future Lead Purchases without affecting completed purchases.
PlanEvents creates the official monthly invoice before Stripe processes the authorised off-session card charge. Applicable account credits are deducted first.
PlanEvents does not receive or store complete card numbers or card security codes.
A Lead Purchase is completed when PlanEvents accepts it against the active billing account, subject to the monthly limit and later settlement of the invoice.
Following acceptance, the Professional receives the information made available for the purchased Opportunity.
15. Nature of a Lead Purchase
A Professional purchasing a Lead purchases access to an event business Opportunity and the associated information made available by PlanEvents.
The Professional does not purchase a customer, booking, contract, exclusive right, guaranteed response or guaranteed sale.
PlanEvents does not guarantee that the Client will answer a telephone call, email, message or other communication; request or accept a quotation; continue discussions; select the Professional; refrain from selecting another Professional; proceed with the event; enter into a contract; pay the Professional; or generate revenue or profit for the Professional.
The Professional accepts that commercial conversion depends on circumstances outside PlanEvents’ control.
A Client’s failure to respond does not by itself establish that a Lead was defective.
The fact that another Professional contacted the Client first, was selected first or obtained the underlying contract does not constitute a defect in the Lead.
16. Non-Exclusive Opportunities
Unless PlanEvents expressly identifies an Opportunity as exclusive, Leads are non-exclusive.
Several Professionals may simultaneously evaluate or purchase the same Event Request subject to the marketplace capacity rules.
A Professional must not represent to a Client that purchasing a PlanEvents Lead gave the Professional exclusive rights over the Client or event.
17. Access Period for Purchased Leads
Purchased lead information is made available only while there remains a legitimate marketplace purpose for providing access.
PlanEvents may end ordinary Professional access to Client contact information after the event has passed, the request has reached its applicable final expiry or completion state or continued marketplace access is no longer necessary.
Ending display access does not erase transaction records, accounting records, purchase-time records, quality claims or other information PlanEvents is entitled or required to retain under its Privacy Policy and applicable law.
A Professional remains independently responsible for any personal data lawfully obtained from the Client and retained outside PlanEvents.
18. Permitted Use of Client Information
Information obtained through a Lead Purchase may be used by the purchasing Professional only for purposes reasonably connected with responding to and pursuing the relevant Event Request.
Personnel acting for the purchasing Professional’s own business may use the information where reasonably necessary to handle the Opportunity.
The Professional must not sell, resell, rent, publish, commercially distribute or otherwise make purchased Client data available to unrelated businesses or persons.
The Professional must not scrape PlanEvents, systematically harvest contact details, circumvent marketplace limits, create unauthorised lead databases or use technical means to extract marketplace information in bulk.
Purchasing a Lead does not authorise the Professional to add the Client automatically to newsletters, advertising audiences or unrelated direct-marketing campaigns.
Any subsequent direct marketing undertaken independently by a Professional must have its own lawful basis under applicable privacy and electronic-communications law.
PlanEvents does not assume responsibility for an independent Professional’s unlawful subsequent marketing or other independent misuse of Client information, without prejudice to PlanEvents’ right to investigate, restrict or terminate the Professional’s account for violation of these Terms.
19. Professional Responsibility for Personal Data
Once a Professional receives Client personal data for the purpose of pursuing an Event Request, the Professional is independently responsible for complying with applicable data-protection and electronic-communications law in relation to processing carried out for its own business purposes outside PlanEvents.
The Professional must implement appropriate measures to protect Client information and must not retain or use such information for longer than permitted by the Professional’s own lawful purpose and applicable law.
Nothing in a Lead Purchase transfers ownership of personal data to the Professional.
20. Communication and Conduct
Clients and Professionals must use PlanEvents and information obtained through PlanEvents lawfully and professionally.
Harassment, threats, discriminatory abuse, fraudulent conduct, impersonation, deliberate deception, spam, excessive or unreasonable contact attempts, misuse of personal information, unlawful solicitation and use of the Platform for purposes unrelated to legitimate event-service activity are prohibited.
A Professional may contact an unlocked Client concerning the relevant Event Request but must respect any request by the Client to cease inappropriate or unwanted communication where applicable.
21. Reports, Complaints and Moderation
Clients may report conduct by Professionals and Professionals may report suspicious, abusive, false or fraudulent Event Requests.
PlanEvents may investigate a report and may examine relevant account information, Event Requests, purchase records, quality claims, communications with PlanEvents, audit records and other information reasonably necessary to determine whether these Terms or applicable law have been breached.
PlanEvents may remove or restrict content, pause requests, restrict marketplace access, suspend accounts or terminate accounts where reasonably justified.
Where applicable law requires PlanEvents to provide an affected user with reasons for a restriction, moderation decision, suspension or termination, PlanEvents will provide the required information through the Platform, email or another appropriate durable means.
22. Refund and Quality-Claim Policy
Lead Purchases are subject to the separate PlanEvents Refund Policy.
A Professional who believes that a purchased Lead satisfies an eligible quality-claim condition may submit a claim through the “Submit a quality claim” functionality within the period specified in that Policy.
Claims are manually reviewed.
Where a claim is approved, the applicable amount is normally restored to the Professional’s PlanEvents account as Credits rather than refunded in cash, subject to the Refund Policy and mandatory applicable law.
The Refund Policy forms part of the contractual framework applicable to Lead Purchases.
23. Credits
PlanEvents may make Credits available to Professionals through approved Quality Claims, promotional campaigns, welcome offers, referral programmes or other expressly identified account adjustments.
Credits may only be used toward eligible purchases on PlanEvents and do not constitute money, electronic money, a deposit or funds held by PlanEvents on behalf of the Professional.
Credits cannot be sold, assigned or transferred to another account and cannot be withdrawn or exchanged for cash, except where mandatory law requires otherwise.
“Promotional Credits” are Credits granted without payment by the Professional, including welcome Credits and referral Credits. Promotional Credits are subject to the eligibility criteria and specific conditions applicable to the relevant promotional programme.
Credits restored following an approved Quality Claim remain governed by the applicable Claims and Refund Policy.
PlanEvents may introduce, modify, suspend or discontinue promotional programmes for future participation. Such changes will not retrospectively cancel Promotional Credits already validly earned, except where Credits were obtained through fraud, abuse, duplicate or fictitious accounts, self-referral, manifest technical error or a material breach of the applicable terms.
PlanEvents may maintain separate records for different categories of Credits, including their origin, date of issue, use and applicable conditions.
24. Account Suspension and Termination
PlanEvents may temporarily suspend an account or marketplace functionality without prior notice where immediate action is reasonably necessary because of suspected fraud, security risk, unlawful activity, harassment, personal-data misuse, material risk to other users, regulatory concerns or another serious breach.
Where a breach is capable of correction and does not require immediate action, PlanEvents may provide a warning or reasonable opportunity to remedy the matter before permanent termination.
Where required by applicable law, PlanEvents will provide the Professional with the reasons for a restriction, suspension or termination and any applicable notice.
PlanEvents may immediately terminate an account where continued provision of the Service would be unlawful, where the user repeatedly or seriously breaches these Terms, where fraud or deliberate abuse is established, where continued access creates a material security or legal risk, or in another circumstance where immediate termination is permitted by applicable law.
Termination does not extinguish rights, liabilities, payment obligations, claims or contractual provisions that by their nature are intended to survive termination.
25. Professional Complaints Regarding Marketplace Decisions
A Professional may contact PlanEvents at professionals@planevents.eu to challenge a material marketplace restriction, suspension, termination, verification decision, matching issue or another administrative decision affecting use of the Professional marketplace.
PlanEvents will review such complaints in good faith and in a manner proportionate to the nature of the decision.
Submitting a complaint does not automatically suspend or reverse the challenged decision where continued restriction is reasonably necessary for security, fraud prevention, legal compliance or protection of other users.
Nothing in this section prevents either party from exercising rights available under mandatory law.
26. User Content
Clients and Professionals retain ownership of text, business descriptions, photographs, logos and other original content they submit to PlanEvents, subject to rights owned by third parties.
By submitting content, the user grants PlanEvents a non-exclusive, worldwide, royalty-free licence for the period reasonably necessary to host, store, reproduce, technically adapt, display, transmit and otherwise process that content for the purpose of operating, securing, moderating, promoting and improving the PlanEvents Service and complying with applicable legal obligations.
This licence does not transfer ownership of the user’s content to PlanEvents.
The user represents that they hold the rights, permissions and authority necessary to submit the content and permit its use for these purposes.
PlanEvents may remove or restrict content that infringes copyright, trademarks, privacy, confidentiality or other rights, violates applicable law or breaches these Terms.
27. Suggestions and Feedback
A user may voluntarily provide comments, ideas or suggestions concerning PlanEvents.
Unless separately agreed in writing, PlanEvents may use general feedback and suggestions for the purpose of improving or developing the Service without an obligation to compensate the person providing the suggestion.
This provision does not transfer ownership of unrelated confidential information, copyrighted material or personal data submitted for another purpose.
28. Intellectual Property of PlanEvents
The PlanEvents software, interface, database structure, brand elements, original website content, designs, functionality and other materials owned by PlanEvents or its licensors are protected by applicable intellectual-property law.
Except to the extent expressly permitted by law or these Terms, users may not copy, reproduce, distribute, sell, sublicense, reverse engineer, circumvent technical protections, commercially exploit or create derivative uses of protected PlanEvents materials.
Nothing in these Terms transfers PlanEvents intellectual-property rights to a Client or Professional.
29. Third-Party Services
PlanEvents relies on third-party infrastructure and service providers for functions including hosting, database services, authentication, payment processing, email delivery and security.
Use of certain third-party services may also be subject to terms imposed by those providers.
PlanEvents is not responsible for a third-party service to the extent that a matter falls exclusively within that independent provider’s responsibility, subject always to PlanEvents’ own obligations under applicable law.
30. Availability and Changes to the Service
PlanEvents may maintain, update, modify or improve the Service and may alter individual features where reasonably necessary for technical, legal, security, commercial or operational reasons.
PlanEvents does not guarantee uninterrupted or error-free availability.
PlanEvents may temporarily suspend functionality for maintenance, security incidents, technical failures or circumstances beyond its reasonable control.
Where a material change affects an existing paid contractual right, PlanEvents will respect mandatory applicable law and any rights expressly provided in these Terms.
31. No Guarantee of User-Supplied Information
PlanEvents may perform verification, automated checks and manual moderation, but cannot guarantee that every statement supplied by a Client or Professional is complete, accurate or current.
Users remain responsible for information they provide.
A Professional remains responsible for evaluating an Opportunity before entering into an event-service contract.
A Client remains responsible for evaluating a Professional before accepting an offer or entering into a service contract.
32. Liability for Client-Professional Transactions
To the maximum extent permitted by applicable law, PlanEvents is not responsible for the performance or non-performance of a contract concluded between a Client and a Professional.
PlanEvents is not responsible for the Professional’s pricing, quotation, service quality, delay, cancellation, conduct, employees, subcontractors, insurance, taxes, invoices, regulatory compliance or damage caused in performing an event service.
PlanEvents is likewise not responsible for a Client’s refusal to contract, cancellation, failure to respond, non-payment to a Professional, inaccurate information or conduct outside the Platform, except to the extent that liability arises directly from PlanEvents’ own breach of an obligation that cannot lawfully be excluded.
33. Limitation of Liability
Nothing in these Terms excludes or limits liability to the extent that such exclusion or limitation is prohibited by applicable Belgian or European Union law.
Subject to the preceding paragraph and in relation to Professionals acting for business purposes, PlanEvents shall not be liable for indirect or consequential commercial loss that was not a direct and reasonably foreseeable result of PlanEvents’ breach, including loss of profit, revenue, business opportunity, anticipated contract, clientele or anticipated savings.
In relation to a Professional, and to the maximum extent permitted by applicable law, PlanEvents’ aggregate contractual liability arising from the Professional’s use of the paid marketplace shall be limited to the total amounts actually paid by that Professional to PlanEvents during the twelve months immediately preceding the event giving rise to the claim.
The preceding limitation does not apply where a higher or different liability is mandatory under applicable law, nor does it exclude liability that cannot legally be excluded or limited.
Any limitation applicable to a Client who qualifies as a consumer applies only to the extent compatible with mandatory consumer-protection law.
34. Indemnification by Professional Users
To the extent permitted under applicable Belgian law, a Professional shall be responsible for direct loss reasonably suffered by PlanEvents as a result of that Professional’s unlawful conduct, fraudulent activity, material breach of these Terms, infringement of third-party rights or unlawful misuse of Client personal data.
Any claim under this section must remain proportionate to the actual circumstances and does not create an automatic punitive penalty.
35. Privacy and Personal Data
Processing of personal data by PlanEvents is governed by the PlanEvents Privacy Policy.
The Privacy Policy explains, among other matters, marketplace disclosure of Event Requests, Professional access to Client information, automated rules-based matching, retention, payments, quality claims, data-subject rights and applicable security measures.
Users must comply independently with data-protection law where they process personal data for their own purposes.
36. Cookies
Use of cookies and similar technologies by PlanEvents is described in the separate Cookie Policy.
Where applicable law requires consent for non-essential technologies, those technologies will be handled in accordance with the applicable consent requirements.
37. Amendments to these Terms
PlanEvents may amend these Terms where necessary because of changes to the Service, applicable law, security requirements, marketplace rules, pricing models or legitimate operational needs.
Where a change materially affects the contractual rights or obligations of existing users, PlanEvents will provide appropriate advance notice.
As a general contractual standard, PlanEvents intends to provide at least thirty days’ notice of materially adverse changes where reasonably practicable and where a shorter period is not justified or permitted by applicable law.
A shorter or immediate change may be made where necessary to comply with a legal or regulatory obligation, address an unforeseen and imminent security or fraud risk, prevent abuse or where another exception permitted by applicable law applies.
Where renewed acceptance is required, the user may be required to accept the revised Terms before continuing to use the relevant Service.
If a user does not accept materially revised Terms, the user must discontinue use of the affected Service and may request account closure subject to outstanding contractual and legal obligations.
38. Language
These Terms may be made available in English, French and Dutch.
The Platform may display the version corresponding to the user’s selected language.
PlanEvents intends the translations to have the same substantive meaning.
The English version is designated as the contractual reference version in the event of an inconsistency between translations, without prejudice to mandatory language requirements, interpretation rules or consumer rights arising under applicable Belgian or European Union law.
39. Governing Law
These Terms and the contractual relationship with PlanEvents are governed by Belgian law, together with directly applicable law of the European Union and mandatory European Union provisions applicable to the relevant relationship.
A choice of Belgian law does not deprive a Client who qualifies as a consumer of mandatory protections that apply notwithstanding that choice of law.
40. Disputes and Jurisdiction
Users are encouraged to contact PlanEvents at support@planevents.eu before commencing formal proceedings so that the parties may attempt to resolve a dispute amicably.
An obligation to attempt an informal resolution does not prevent a party from seeking urgent judicial protection, observing a limitation period or exercising another mandatory legal right.
For disputes with Professionals acting in the course of their business, the courts competent for Brussels, Belgium shall have jurisdiction to the extent that such a jurisdiction agreement is valid under applicable law.
For Clients who qualify as consumers, jurisdiction is determined in accordance with mandatory Belgian and European Union rules applicable to consumer disputes. Nothing in these Terms restricts a consumer’s right to bring proceedings before a court that has jurisdiction under mandatory applicable law.
The American Arbitration Association and mandatory United States arbitration provisions do not apply to PlanEvents.
41. Severability
If any provision of these Terms is found invalid, unlawful or unenforceable by a competent authority, that provision shall be interpreted or limited to the extent necessary to make it valid where legally possible.
Where that is not possible, the affected provision shall be severed without affecting the remaining provisions, provided that the contract can reasonably continue without it.
42. No Waiver
A failure or delay by PlanEvents to enforce a contractual right does not constitute a permanent waiver of that right.
A waiver concerning one breach does not constitute a waiver concerning a later or different breach unless expressly agreed.
43. Entire Agreement
These Terms, together with the Privacy Policy, Cookie Policy, Refund Policy and any specific additional terms expressly incorporated into a transaction or feature, constitute the contractual framework governing use of PlanEvents.
Where specific terms expressly applicable to a particular paid feature conflict with these general Terms, the more specific provisions apply to that feature to the extent of the conflict, subject to mandatory law.
44. Assignment
A user may not transfer their PlanEvents account or contractual rights to another person or entity without PlanEvents’ prior consent where such transfer would affect identity, verification, marketplace eligibility, payment records or data-protection obligations.
PlanEvents may transfer the operation of the Service or its contractual rights and obligations in connection with a transfer of the business, restructuring or succession, subject to applicable law and without reducing mandatory rights of users.
45. Force Majeure
PlanEvents shall not be liable for delay or failure to perform an obligation to the extent caused by circumstances beyond its reasonable control, provided that this provision does not exclude obligations or remedies that cannot lawfully be excluded.
