Professional / Marketplace Terms
1. Scope and contractual status
These Professional / Marketplace Terms govern access to and use of the PlanEvents Professional marketplace by approved Professional users.
They supplement the PlanEvents Terms & Conditions and apply specifically to Professional registration, verification, marketplace eligibility, access to event opportunities, Lead Purchases, use of Client information, quality claims, Credits, Professional conduct, suspension, termination and other matters arising from participation in the PlanEvents marketplace.
PlanEvents is operated by BrandLabel Agency, an independent business established in Belgium, with registered VAT number BE1040366570, Rue de la Marjolaine, 1120 Brussels, Belgium.
For the purposes of these Professional / Marketplace Terms, “PlanEvents”, “we”, “us” and “our” refer to the operator of the PlanEvents Service.
By submitting a Professional registration, completing Professional onboarding, participating in the marketplace or purchasing a Lead, the Professional agrees to be bound by these Professional / Marketplace Terms together with the PlanEvents Terms & Conditions, Privacy Policy, Cookie Policy and Refund Policy.
Where these Professional / Marketplace Terms contain provisions specifically applicable to Professional marketplace activity, those provisions prevail over more general provisions of the Terms & Conditions to the extent of any inconsistency, subject always to mandatory applicable law.
2. Professional status
The Professional marketplace is intended exclusively for persons acting for business or professional purposes.
A Professional must be at least eighteen years of age and must be authorised to represent the business for which the account is created.
The Professional represents that all marketplace activity, Lead Purchases and communications with Clients are undertaken in connection with a genuine professional or commercial activity.
The Professional must not use the Professional marketplace in a private consumer capacity.
3. Belgian establishment and VAT eligibility
Professional marketplace participation is currently restricted to eligible businesses established or registered in Belgium.
To obtain approval, the Professional must provide a registered Belgian business address and a valid Belgian VAT number.
Belgian enterprise and VAT numbers are verified against BCE/KBO data. VIES validation applies only to VAT numbers from other European Union countries where relevant.
PlanEvents may also consult other official or authoritative sources as part of manual administrator verification.
Professional users who do not satisfy the current Belgian eligibility requirements are not entitled to access or purchase event Leads.
PlanEvents may expand marketplace eligibility to additional countries in the future. No such expansion shall apply until the relevant technical, legal and contractual requirements have been introduced.
4. Professional registration and onboarding
A Professional must complete the registration and onboarding process prescribed by PlanEvents.
The information required may include the Professional’s full name, email address, confirmation of age, confirmation of authority to represent the business, legal business name, optional trading name, contact person, role, telephone number, optional website, registered address, Belgian VAT number, service categories, business base, travel radius, Belgian regions covered and other information reasonably required to assess marketplace eligibility.
Where a service category requires additional regulatory or compliance information, PlanEvents may require the Professional to provide the relevant registration, authorisation or permit information.
For applicable catering activities, this may include an FASFC/AFSCA registration or authorisation number.
The Professional must submit all required declarations concerning the accuracy of the information supplied and compliance with applicable law.
5. Verification and approval
Submission of a Professional profile does not create a right to approval.
Professional profiles are subject to administrator review.
PlanEvents may approve, reject, request clarification or require additional information where reasonably necessary to verify marketplace eligibility, identity, business status, regulatory compliance or the accuracy of information supplied.
Approval by PlanEvents means only that the Professional satisfied the marketplace verification criteria applicable at the time of review.
Approval does not constitute a certification, recommendation, endorsement or guarantee of the Professional’s quality, financial standing, insurance, regulatory compliance, qualifications or suitability for any particular Client or Event Request.
6. Continuing obligation to maintain accurate information
A Professional must ensure that information supplied to PlanEvents remains accurate, complete and current.
The Professional must promptly update or notify PlanEvents of any material change affecting the legal business name, address, VAT status, contact information, services offered, covered regions, business location, travel radius, regulatory registration, licence, authorisation or other information relevant to marketplace eligibility.
Where a Professional ceases to satisfy a mandatory marketplace requirement, PlanEvents may restrict or suspend Professional access until the matter is resolved.
A Professional must not continue presenting a service category through PlanEvents where the Professional no longer holds a registration, authorisation or other legal entitlement required to provide that service.
7. Independent Professional status
Professionals participating in PlanEvents remain independent businesses.
Nothing in these Professional / Marketplace Terms creates an employment relationship, commercial agency, partnership, joint venture, franchise or representative relationship between PlanEvents and the Professional.
The Professional has no authority to bind PlanEvents, make commitments on behalf of PlanEvents or represent that PlanEvents guarantees or endorses the Professional’s services.
The Professional remains solely responsible for its own business operations, employees, subcontractors, taxes, VAT, accounting, insurance, permits, regulatory obligations and contractual commitments to Clients.
8. Nature of the marketplace
PlanEvents facilitates initial contact between Clients seeking event-related services and eligible Professionals.
PlanEvents does not itself provide the underlying event service and is not a party to contracts concluded between Clients and Professionals.
Quotations, negotiations, contractual terms, service performance, event-service payments, invoicing, cancellations and disputes relating to the underlying event service take place directly between the Professional and the Client.
PlanEvents does not currently charge commission on contracts subsequently concluded between Professionals and Clients.
9. Marketplace eligibility and matching
PlanEvents uses rules-based eligibility criteria to determine which approved Professionals may access a particular Event Request.
Marketplace eligibility may take into account the service categories requested by the Client, the Professional’s verified service categories, the event’s Belgian region, the regions selected by the Professional, the Professional’s business base, the declared travel radius, the geographic relationship between the business base and event location, request status, request expiry and remaining Lead capacity.
Marketplace access requires satisfaction of the applicable service-category, region and travel-radius criteria.
Missing location coordinates do not broaden marketplace eligibility.
The matching process does not constitute a recommendation by PlanEvents and does not determine which Professional should be selected by the Client.
PlanEvents does not currently rank Professionals by predicted quality, commercial conversion, response rate, price competitiveness or personal characteristics.
10. Professional responsibility for marketplace suitability
The Professional remains responsible for determining whether an Opportunity is commercially and operationally suitable before purchasing it.
The Professional must review the information available in the pre-purchase preview and assess its own availability, capabilities, geographic reach, staffing, regulatory permissions and commercial interest.
Marketplace eligibility does not constitute a representation that the Professional is capable of fulfilling the Event Request or that the Client will consider the Professional suitable.
11. Pre-purchase Lead information
Before purchase, an eligible Professional may receive a redacted preview of an Event Request.
The preview may contain the event context, event type, date or date range, city and region, guest-number range, preferred contact languages, matching service categories, relevant service timings, relevant service-question answers, additional requirements and event description.
Structured Client contact information remains hidden before purchase.
PlanEvents also applies automated filtering intended to remove common identifying information from free-text content.
The Professional acknowledges that automated redaction cannot guarantee complete anonymisation of contextual information.
The Professional must not attempt to identify or contact the Client by circumventing the Lead Purchase process, reverse-searching contextual information for the purpose of bypassing payment or using other means designed to avoid the marketplace model.
12. Lead Purchase
A Lead Purchase gives the Professional access to the information made available for the relevant Opportunity when the purchase is accepted against an active monthly billing account.
The Professional does not purchase ownership of the Client, an exclusive right to contact the Client, a booking, contract, guaranteed quotation request, confirmed sale or guaranteed commercial outcome.
The Professional voluntarily decides whether to purchase each Lead.
There is no automatic Lead Purchase or recurring Professional subscription: the Professional chooses every Lead individually. Purchased Leads are consolidated into one monthly invoice.
A saved card is mandatory. The Professional authorises PlanEvents, through Stripe, to charge the monthly invoice off-session after PlanEvents creates the official invoice. Applicable credits are deducted first. The price displayed before purchase governs the transaction.
PlanEvents may apply a monthly spending limit, block further purchases after the limit is reached, increase the limit following successful payment history, or let an administrator set a custom or unlimited limit following verification.
If the monthly payment fails, the account may be placed past due and further Lead Purchases blocked while lawful collection, notice and retry steps are taken. A failed later payment does not retroactively expose the Client beyond access already granted, but amounts remain due subject to applicable law and the Refund Policy.
13. Non-exclusive Leads and Lead capacity
Leads are non-exclusive unless expressly stated otherwise.
Up to five verified Professionals per requested service category may purchase access to the same Event Request. Each requested service has an independent open or closed status and unlock count and closes automatically at five purchases.
A Professional must not represent to a Client that purchasing access through PlanEvents provides exclusive rights to the Event Request.
Where a Professional offers several requested service categories, PlanEvents groups only the matching services that are open and have capacity when checkout begins into one Opportunity.
The Professional purchases that Opportunity once and consumes one slot in every included service. Matching services already closed before checkout are excluded. The purchase-time service snapshot is retained permanently, and later closure does not revoke purchased access.
14. Availability of Leads
A Lead remains available only while the Event Request satisfies the applicable marketplace conditions and purchase capacity remains.
PlanEvents may remove or make a Lead unavailable before purchase where the Client pauses, closes or cancels the request, the request expires, the applicable Lead capacity is reached, the request is rejected or removed through moderation, fraud or abuse is suspected, a legal or security issue arises or another marketplace eligibility condition ceases to be satisfied.
The appearance of an Opportunity in the Professional marketplace does not create a contractual entitlement or reservation in favour of the Professional.
15. Information received after purchase
After the Lead Purchase is accepted against the active billing account, the Professional receives the relevant Client and Event Request information described in the PlanEvents Privacy Policy and marketplace interface.
This may include the Client’s full name, company or organisation name where supplied, email address, telephone number, preferred contact method, preferred contact languages, postcode, country and relevant unredacted event and service information.
The Professional does not receive the Client’s password, authentication credentials, marketing preferences, internal account identifier or stored geographic coordinates through the ordinary Lead Purchase process.
Service-specific information remains limited to the categories relevant to the purchasing Professional.
16. Purchase-time records
PlanEvents may preserve an immutable record of the Lead information existing at the time the Professional completed the purchase.
That record may be used to establish the content of the purchased Opportunity, assess subsequent material changes, investigate disputes, determine Quality Claims and maintain appropriate contractual and audit records.
A Client may subsequently amend an Event Request where the Platform permits.
Such amendments do not alter the historical record of the Opportunity originally purchased by the Professional.
17. Material post-purchase changes
Where a Client makes a material amendment after a Lead Purchase, PlanEvents may notify Professionals who already purchased the Opportunity.
A material change may include a substantial modification to the event date, date range, location, event type, expected scale, requested service category, service timing, principal service requirements or another element that substantially alters the commercial nature of the Lead.
The existence of a material change does not automatically create a refund.
The Professional may submit a Quality Claim in accordance with the Refund Policy where the change materially affected the purchased Opportunity.
18. Event cancellation and closure
A Client may close or cancel an Event Request where the applicable Platform functionality permits.
Closing a request because the Client found a Professional does not itself invalidate Lead Purchases already completed.
Where the event itself is cancelled after the Professional purchased the Lead, the Professional may submit a Quality Claim in accordance with the Refund Policy.
PlanEvents may notify existing purchasers of an event cancellation.
No new Lead Purchases are permitted after the applicable final closure or cancellation state is recorded.
19. Permitted use of Client information
Client information obtained through a Lead Purchase may be used solely for purposes reasonably connected with pursuing and responding to the relevant Event Request.
The Professional may allow employees, officers, contractors or other personnel acting for the same business to use the information where reasonably necessary to prepare, manage or respond to the relevant Opportunity.
The Professional remains responsible for the conduct of persons using the information on behalf of its business.
Client information obtained from PlanEvents must not be sold, resold, rented, commercially redistributed, published or disclosed to an unrelated business or person.
The Professional must not create an unauthorised commercial database of PlanEvents Leads or systematically extract Client information from the Platform.
20. Prohibition on scraping and circumvention
The Professional must not use automated tools, scripts, crawlers, scraping software, reverse engineering, bulk extraction methods or other technical mechanisms to collect or reproduce marketplace information outside the functionality made available by PlanEvents.
The Professional must not circumvent access controls, payment requirements, Lead limits, redaction measures, matching criteria or security mechanisms.
The Professional must not attempt to obtain hidden Client contact information without completing the applicable Lead Purchase.
21. Direct marketing
Purchasing a Lead does not constitute consent by the Client to receive unrelated marketing communications.
The Professional must not automatically add a Client to a newsletter, promotional mailing list, advertising audience or unrelated direct-marketing campaign solely because the Professional purchased the Lead.
Where the Professional wishes to use Client information for separate direct-marketing purposes, the Professional is responsible for establishing and documenting an independent lawful basis under applicable data-protection and electronic-communications law.
PlanEvents does not assume responsibility for the Professional’s independent direct-marketing activities outside the Platform.
A breach of this section may nevertheless result in marketplace restriction, suspension or termination.
22. Professional data-protection obligations
Where a Professional receives Client personal data through PlanEvents and subsequently processes that information for its own professional purposes, the Professional is responsible for complying with applicable data-protection law.
The Professional must use Client personal data only for lawful and appropriate purposes, maintain suitable technical and organisational security measures and avoid retaining personal data for longer than necessary for the applicable lawful purpose.
Nothing in a Lead Purchase transfers ownership of personal data to the Professional.
PlanEvents may restrict access to Client information through the Professional interface after the relevant event has passed, the request expires or the marketplace purpose for continuing to display the information ends.
Any personal data independently retained by the Professional outside PlanEvents remains subject to the Professional’s own legal obligations.
23. Professional communications with Clients
Professionals must communicate with Clients lawfully, professionally and proportionately.
Harassment, threats, abusive communications, discriminatory conduct, misleading statements, excessive or unreasonable contact attempts, spam, coercive sales practices and communications unrelated to the relevant Event Request are prohibited.
Where a Client clearly communicates that they do not wish to continue discussions, the Professional must respect that decision except where further communication is objectively necessary for an existing contractual, legal or dispute-related purpose.
24. Professional representations to Clients
A Professional must accurately represent its business, services, qualifications, licences, authorisations, availability and pricing.
The Professional must not falsely claim to be employed by, endorsed by, certified by or acting on behalf of PlanEvents.
The Professional must not misrepresent its regulatory status or claim to hold permits, registrations, insurance or qualifications that it does not possess.
25. Professional responsibility for quotations and contracts
The Professional is solely responsible for quotations, proposals, terms, prices, deposits, cancellation conditions and contracts offered to Clients.
The Professional must ensure that its own contracts and commercial practices comply with applicable Belgian and European law.
PlanEvents does not approve, review or guarantee the Professional’s contractual terms merely because the Client relationship originated through the marketplace.
26. Professional responsibility for event-service performance
The Professional remains solely responsible for performance of any event service contracted with a Client.
This includes responsibility for staffing, subcontracting, health and safety, insurance, permits, taxes, VAT, invoicing, delivery, cancellations, delays, service quality and compliance with sector-specific legislation.
PlanEvents does not assume responsibility for the Professional’s performance or non-performance of the resulting Client contract.
27. Quality Claims
The Professional may submit a Quality Claim where a purchased Lead satisfies one of the qualifying grounds specified in the PlanEvents Refund Policy.
Quality Claims must be submitted within the period and through the procedure set out in that Policy.
Claims are manually reviewed.
The Professional must provide accurate information and any reasonably available supporting evidence.
Submitting a Quality Claim does not automatically establish entitlement to Credit restoration.
28. Quality Claim Restored Credits
Where a Quality Claim is approved, PlanEvents may grant the relevant amount as a Restored Credit in accordance with the Refund Policy.
Restored Credits may be used only for future eligible Lead Purchases.
Restored Credits are non-transferable, cannot ordinarily be withdrawn and cannot ordinarily be exchanged for cash.
Restored Credits currently have no ordinary expiry date.
Any future change to Restored Credits will be subject to applicable law and contractual notice requirements.
29. Promotional Credits and Referral Programme
PlanEvents may grant Promotional Credits to eligible Professionals as part of launch campaigns, welcome offers, referral programmes or other promotional initiatives.
Promotional Credits are granted without payment by the Professional and may only be used toward eligible purchases available through PlanEvents. Promotional Credits are non-transferable and cannot be sold, assigned, withdrawn or exchanged for cash.
The amount of Promotional Credits, eligibility criteria, applicable period and any specific conditions of a promotional programme will be communicated in connection with the relevant offer.
Promotional programmes may be restricted to Professionals who meet specified eligibility criteria, including registration or approval periods, geographic markets or other objectively defined conditions.
As part of certain promotional programmes, an eligible Professional may receive a unique referral or partner code.
Where another Professional registers using that code, successfully completes the required registration and verification process and is subsequently approved by PlanEvents, the referring Professional may receive the Promotional Credit specified for the applicable referral programme.
A referral reward is earned only once the referred Professional has been approved by PlanEvents. Registration, use of a referral code or submission of an application alone does not create an entitlement to a referral reward.
A referred Professional may be attributed to only one referring Professional for the purposes of a referral reward.
Referral codes cannot be applied retroactively after registration unless PlanEvents expressly allows this.
Self-referrals, duplicate accounts, fictitious registrations, manipulation of registrations or accounts, and any activity primarily intended to improperly obtain Promotional Credits are prohibited.
PlanEvents may refuse, reverse or cancel Promotional Credits where PlanEvents reasonably establishes that they resulted from fraud, abuse, self-referral, duplicate or fictitious accounts, a manifest technical error or another material breach of the applicable programme conditions.
Promotional Credits may accumulate unless the applicable promotional programme expressly provides otherwise.
PlanEvents may modify, suspend or discontinue a promotional or referral programme for future participation or future rewards. Such modification, suspension or termination does not cancel Promotional Credits already validly earned before the effective date of the change, except in cases of fraud, abuse, manifest error or material breach of the applicable terms.
30. Founding Partner Programme
PlanEvents may designate eligible Professionals joining the Platform during its launch period as participants in the Founding Partner Programme.
An eligible Professional may receive €20 in Promotional Credits after the Professional account has successfully completed the applicable verification process and has been approved by PlanEvents.
The welcome Promotional Credit is granted once per eligible professional business.
Eligible participants may also receive a unique PlanEvents partner code.
For each new Professional who registers using that partner code, successfully completes the applicable registration and verification process and is approved by PlanEvents, the referring Professional receives €5 in Promotional Credits.
The referral reward is granted once per successfully approved referred Professional.
Welcome and referral Promotional Credits may accumulate and may only be used toward eligible purchases on PlanEvents.
The Founding Partner Programme is a promotional programme and may be modified, suspended or closed by PlanEvents for future registrations or future referral rewards. Promotional Credits already validly earned remain available in accordance with the applicable Terms, except in cases of fraud, abuse, manifest technical error or material breach.
31. Fraudulent or abusive claims
The Professional must not submit knowingly false Quality Claims, fabricate evidence, alter screenshots, misrepresent contact attempts or otherwise manipulate the claims process.
PlanEvents may investigate claim patterns where reasonably necessary for fraud prevention and marketplace integrity.
Serious fraudulent or abusive use of the Quality Claim system may result in rejection of claims, restriction, suspension or termination.
Unused Credits may be cancelled following serious fraudulent conduct only to the extent permitted by applicable law and proportionate to the circumstances.
32. Client reports and Professional complaints
Clients may report suspected Professional misconduct to PlanEvents.
PlanEvents may investigate reports involving harassment, misleading conduct, regulatory concerns, unlawful marketing, misuse of personal data, impersonation, fraud or other breaches of the marketplace rules.
The Professional may also report fraudulent, abusive, false or otherwise problematic Event Requests.
PlanEvents may review relevant marketplace, account, request, purchase, claim and audit information where reasonably necessary to investigate such reports.
33. Restriction and suspension
PlanEvents may temporarily restrict or suspend Professional access where reasonably necessary to investigate suspected fraud, unlawful activity, personal-data misuse, regulatory non-compliance, security risk, serious Client complaints, inaccurate business information or another material breach.
Where immediate action is reasonably necessary to protect Clients, other Professionals, PlanEvents or the integrity of the marketplace, suspension may take effect without prior notice.
Where a breach is remediable and does not require immediate action, PlanEvents may provide a warning or reasonable opportunity to correct the matter before permanent termination.
34. Termination
PlanEvents may terminate Professional marketplace access where the Professional no longer satisfies eligibility requirements, repeatedly or materially breaches these Professional / Marketplace Terms, engages in fraud or deliberate abuse, misuses personal data, provides false verification information, unlawfully circumvents marketplace functionality or otherwise creates a material legal, security or marketplace-integrity risk.
Where required by applicable law, PlanEvents will provide the Professional with the reasons for restriction, suspension or termination and any applicable notice.
Termination does not affect obligations or liabilities arising before termination or provisions that by their nature are intended to survive termination.
35. Voluntary account closure
A Professional may request permanent closure of the Professional account subject to outstanding transactions, claims, disputes and legal retention requirements.
The Professional should use available Platform Credits before requesting permanent closure.
Subject to mandatory law, unused Credits remaining after voluntary permanent account closure cease to be usable and are not ordinarily redeemable for cash.
36. Permanent discontinuation of the marketplace
PlanEvents may permanently discontinue the paid Professional marketplace where reasonably necessary for commercial, legal or operational reasons.
Where existing Credits can no longer reasonably be redeemed because PlanEvents permanently discontinues the relevant marketplace functionality, PlanEvents will provide an appropriate resolution in accordance with applicable law.
This may include a reasonable period during which existing Credits may be used or reimbursement where required.
37. Professional complaints concerning marketplace decisions
A Professional may challenge a material marketplace restriction, suspension, termination, verification decision, matching issue or other significant administrative decision by contacting PlanEvents at professionals@planevents.eu.
PlanEvents will review such complaints in good faith and in a manner proportionate to the decision concerned.
Submission of a complaint does not automatically reverse or suspend the challenged decision where continued restriction is reasonably necessary for legal compliance, fraud prevention, security or protection of users.
Nothing in this process prevents the Professional from exercising rights available under mandatory law.
38. Platform-to-business transparency
Where Regulation (EU) 2019/1150 on promoting fairness and transparency for business users of online intermediation services applies to the relationship between PlanEvents and a Professional, these Professional / Marketplace Terms shall be interpreted and applied consistently with the mandatory requirements of that Regulation.
PlanEvents provides information concerning the principal rules governing Professional eligibility, marketplace matching, access to Client information, Lead availability, restrictions, suspension, termination and complaint handling through these Terms and the associated PlanEvents policies.
Where applicable law requires PlanEvents to provide additional notice, reasons or information concerning a material restriction or termination, PlanEvents will do so in accordance with that law.
39. Intellectual property and Professional content
The Professional retains ownership of original text, business descriptions, photographs, logos and other content submitted to PlanEvents, subject to third-party rights.
By submitting such content, the Professional grants PlanEvents a non-exclusive, worldwide, royalty-free licence for the period reasonably necessary to host, reproduce, technically adapt, display and otherwise process that content for the operation, security, moderation and promotion of the PlanEvents Service.
The Professional warrants that it has the rights and permissions necessary to submit the relevant material.
PlanEvents may remove content that infringes intellectual-property rights, privacy rights or other applicable law.
40. Marketplace availability
PlanEvents does not guarantee that a particular volume, frequency or commercial quality of Leads will be available to any Professional.
PlanEvents does not guarantee that the Professional’s declared services, location or travel radius will result in a minimum number of marketplace Opportunities.
The Professional participates in the marketplace at its own commercial discretion and remains responsible for its own business-development decisions.
41. No guaranteed return on Lead Purchases
PlanEvents does not guarantee any return on investment arising from Lead Purchases.
The Professional accepts that Lead Purchases involve ordinary commercial risk.
The absence of a resulting contract, sale, revenue or profit does not by itself constitute a breach by PlanEvents.
42. Limitation of liability
Nothing in these Professional / Marketplace Terms excludes or limits liability where exclusion or limitation is prohibited by applicable Belgian or European Union law.
To the maximum extent permitted by applicable law, PlanEvents is not liable to a Professional for indirect or consequential commercial loss that is not a direct and reasonably foreseeable result of PlanEvents’ breach, including loss of anticipated profit, revenue, clientele, business opportunity, expected contract or anticipated savings.
To the maximum extent permitted by applicable law, PlanEvents’ aggregate contractual liability to a Professional arising from participation in the paid marketplace is limited to the total amount actually paid by that Professional to PlanEvents during the twelve months immediately preceding the event giving rise to the claim.
This limitation does not apply where mandatory law requires a higher or different liability standard or where liability cannot lawfully be excluded or limited.
43. Responsibility for Professional misconduct
To the extent permitted by applicable law, the Professional is responsible for direct loss reasonably caused to PlanEvents by fraudulent conduct, unlawful activity, material breach of these Professional / Marketplace Terms, infringement of third-party rights or unlawful misuse of Client personal data.
Any claim by PlanEvents under this section must remain proportionate to the actual circumstances and shall not operate as an automatic punitive penalty.
44. Amendments
PlanEvents may amend these Professional / Marketplace Terms where necessary to reflect changes to the marketplace, applicable law, Professional eligibility criteria, pricing mechanisms, security requirements or legitimate operational needs.
Where a material amendment adversely affects the contractual rights or obligations of existing Professionals, PlanEvents will provide appropriate advance notice.
As a general contractual standard, PlanEvents intends to provide at least thirty days’ advance notice of materially adverse changes where reasonably practicable and where a shorter period is not justified or permitted by applicable law.
A shorter period may apply where necessary to comply with a legal obligation, address an unforeseen and imminent security or fraud risk or where another exception permitted by applicable law applies.
Where renewed acceptance is required, continued Professional marketplace access may be conditional upon acceptance of the revised version.
45. Language
These Professional / Marketplace Terms may be made available in English, French and Dutch.
The Platform may display the version corresponding to the Professional’s selected language.
The English version is designated as the contractual reference version in the event of an inconsistency between translations, without prejudice to mandatory language rules or rights arising under Belgian or European Union law.
46. Governing law
These Professional / Marketplace Terms and the contractual relationship between PlanEvents and the Professional are governed by Belgian law together with directly applicable European Union law and other mandatory provisions applicable to the relationship.
47. Jurisdiction
Professionals are encouraged to contact PlanEvents at professionals@planevents.eu before commencing formal proceedings so that the parties may attempt to resolve a dispute amicably.
For disputes between PlanEvents and a Professional acting in the course of its business, the courts competent for Brussels, Belgium shall have jurisdiction to the extent that such a jurisdiction agreement is valid under applicable law.
Nothing in this section restricts rights or remedies that cannot lawfully be excluded.
48. Severability
If any provision of these Professional / Marketplace Terms is held invalid, unlawful or unenforceable by a competent authority, that provision shall be interpreted or limited to the extent necessary to make it valid where legally possible.
Where this is not possible, the affected provision shall be severed without affecting the remaining provisions, provided that the contractual relationship can reasonably continue without it.
49. No waiver
A failure or delay by PlanEvents to enforce a right under these Professional / Marketplace Terms does not constitute a waiver of that right.
A waiver concerning one breach does not constitute a waiver concerning another or subsequent breach unless expressly agreed.
50. Relationship with other PlanEvents policies
These Professional / Marketplace Terms form part of the PlanEvents contractual framework together with the Terms & Conditions, Privacy Policy, Cookie Policy and Refund Policy.
The Refund Policy governs Quality Claims, Credit restoration and refund-related matters.
The Privacy Policy governs PlanEvents’ processing and disclosure of personal data.
The Terms & Conditions govern the wider contractual relationship and general use of the Service.
Where a provision in these Professional / Marketplace Terms specifically governs Professional marketplace activity, that specific provision applies to that activity subject to mandatory law.
